Terms & Conditions

1. Introduction

Welcome to Arkedia Marketing (referred to as “we”, “us”, “our”). By accessing or using our website, services, and related deliverables (collectively “Services”), you (the “Client”, “you”, or “your”) agree to be bound by these Terms & Conditions. If you do not agree, please do not use our Services.

2. Scope of Services

We provide brand-building, website design/development, marketing system setup, UX/UI design, and related consulting services. The scope of work, deliverables, timeline, assets, and fees will be defined in a separate service agreement or proposal shared with you.

3. Client Responsibilities

You agree to provide all necessary information, feedback, content, materials, assets, and approvals in a timely manner as required for us to perform the Services.
You confirm that any materials you provide (text, images, logos, data) are owned by you or that you have the right to use them.
You are responsible for ensuring that information provided to us is accurate, lawful, and does not infringe third-party rights.

4. Intellectual Property & Ownership

All designs, deliverables, website assets, copy, code, and other materials created by us remain our intellectual property until full payment is made.
Upon full payment, we grant you a non-exclusive, non-transferable license to use the deliverables for the purposes agreed in the service agreement.
You may not resell, redistribute, or reuse the deliverables in a manner not permitted under the license without our explicit written consent.

5. Fees, Payment & Revisions

Fees and payment schedule (advance, milestone, final payment) will be outlined in the service agreement or proposal.
Clients must pay within the time frame specified in the agreement. Delays or non-payment may result in suspension or withholding of deliverables.
Minor revisions may be included as per the agreement; substantial changes or additional work beyond the agreed scope may incur additional charges.

6. Confidentiality & Data Protection

Both parties agree to treat all shared materials, business information, strategies, and data as confidential (“Confidential Information”).
Confidential Information must not be disclosed to any third party without prior written consent of the other party.
This obligation continues even after termination of the service agreement.

7. Limitation of Liability & Warranty Disclaimer

While we strive to deliver high-quality work, we do not guarantee specific commercial results (such as revenue, traffic, conversions) unless explicitly promised in writing.
All Services are provided “as is” and “as available.” We disclaim all warranties, whether express or implied, to the fullest extent permitted by law.
Under no circumstances shall we be liable for any indirect, incidental, special, consequential or punitive damages arising from use of our Services or deliverables.

8. Termination & Suspension

Either party may terminate the agreement if the other party materially breaches any term and fails to remedy within 60 days of written notice.
Upon termination, you agree to pay for all completed work and deliverables up to the termination date.
We reserve the right to suspend or refuse to deliver further work if payment is delayed or you fail to provide necessary resources/feedback.

9. Governing Law & Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of India.
Any dispute arising out of or in connection with these Terms shall be resolved amicably through good-faith negotiation. If unresolved, disputes may be referred to arbitration or courts in [Your State/City, India], as per applicable laws.

10. Modifications & Updates to Terms

We reserve the right to modify or update these Terms & Conditions at any time.
Any changes will be effective upon posting the revised version on our website. Continued use of our Services after modification constitutes acceptance of the new Terms.
